Article 1 Scope and Changes to the Terms

1. These terms apply to the use of the bicycle wheel mail order site operated by JPeHUB (hereinafter referred to as "our company").

2. JPeHUB may revise, add to, change or abolish the contents of these terms and the individual terms.

3. Regarding changes to these terms, our company will post the changes on the JPeHUB website two weeks prior to the date of change.

4. In addition, when these terms and the individual terms are revised, added to, changed or abolished in part, all matters related to the service will be governed by the revised, added or changed terms or the remaining terms after partial abolition.

5. In addition, our company will change the terms without obtaining individual consent from users only if all of the following requirements (1) to (5) are met.
(1) It is difficult to obtain consent from all users to the change of terms.

(2) There is a reasonable need to change the contents of the terms uniformly.

(3) The change of the terms does not contradict the purpose of the contract.

(4) The change is reasonable in light of the necessity of the change, the appropriateness of the changed contents, and the contents of the changes in the terms if there are any provisions regarding the change and other circumstances related to the change.

(5) If the change of the terms is disadvantageous to the user, appropriate measures such as allowing the mid-term termination of this service contract will be taken according to the degree of the benefit.

Article 2 Members

1. In these terms, "member" refers collectively to a person who understands and accepts all the contents of these terms, applies for membership registration in accordance with the procedures specified by our company and is approved by our company, and a person who purchases products at JPeHUB without applying for membership registration.

2. "Member information" refers to information on the member's attributes disclosed to our company by the member and information on the member's transaction history, etc.

3. The member registration procedure must be carried out by the person who will become a member. Registration by proxy is not permitted.

4. Minors may not apply for membership without the prior consent of a competent legal representative.

5. Management of passwords, etc.

(1) Information required for logging in (hereinafter referred to as "passwords, etc.") may only be used by the member himself/herself and may not be transferred or lent to a third party.

(2) The member himself/herself must manage the password, etc. responsibly, for example by changing it regularly so that it is not known to others.

(3) Any expression of intent made to the Company using the password, etc. shall be deemed to be an expression of intent by the member himself/herself, and any payments, etc. resulting therefrom shall be the responsibility of the member, except in cases where there is a reason for attribution.

6. Notifications from the Company and JPeHUB to members will be sent to the member information registered by the member. In addition, depending on the content, the notification may be posted on JPeHUB.

7. Members agree to receive necessary contact from the Company to the above email address or through notifications posted on JPeHUB.

8. We are not responsible for any failure to receive emails sent to the above email address, regardless of the reason, including incorrect input of email address, email software and security software email reception environment settings, provider's spam countermeasures, use of free email addresses, etc. Please register an email address that the member can receive correctly.

9. Any necessary contact from us will be treated as having been received by the member when we send an email from us or post a notice on the website.

10. If a member wishes to cancel his/her membership, he/she shall follow the cancellation procedure in accordance with the method separately specified by us.

Article 3 Use of JPeHUB

1. Members shall use JPeHUB in accordance with laws, regulations, notices, these terms, and the personal information protection policy and privacy policy separately specified by us.

2. We do not guarantee that the content of JPeHUB will be adapted to the environment of all members and will operate properly. Access to JPeHUB is at the member's own discretion, and the member shall be responsible for the use of JPeHUB.

Article 4 Purchasing Products

1. Members can purchase products using JPeHUB. When a member wishes to purchase a product, he/she shall purchase the product in accordance with the order procedure specified by JPeHUB.

2. When ordering a product on JPeHUB, the member confirms the delivery address and order details entered and registered by the member, clicks the button to place the order, and then the Company sends the member an email notifying the member that the order has been accepted (hereinafter referred to as the "Order Acceptance Email"), at which point a sales contract for the product is concluded between the member and the Company. However, if the order is not approved as a result of the screening conducted by the credit card company or the debt collection agency, the order will be canceled.

3. Notwithstanding the provisions of this article, if there is any fraudulent or inappropriate behavior regarding the use of JPeHUB, the Company may cancel or terminate the sales contract or take other appropriate measures.

4. In principle, we strive to display the product information posted on JPeHUB accurately. However, we cannot guarantee that all information posted (product specifications, product images, comments, specs, etc.) is correct.

5. After the sales contract is concluded, cancellations due to member's convenience will not be accepted except under the conditions described in Article 9 of these Terms.

Article 5 Product Inventory and Reservations

1. If a product is not in stock but is mistakenly displayed as in stock on JPeHUB, we will promptly check and notify the member of the arrival date or request the cancellation or change of the product purchase.

2. In accordance with the preceding paragraph, if the price is returned, the refund will be made by the method specified by our company, and the company will bear the handling fee. Refunds will not be made at convenience stores.

3. Even if we do not have stock at our company, we will accept reservations if we are scheduled to receive it.

4. The delivery date notified at the time of reservation may be delayed due to the manufacturer's circumstances. Our company shall not be held liable for any inconvenience caused to members due to delivery delays.

5. If delivery is delayed due to reasons attributable to our company, we will accept cancellation and modification of the purchase of the product.

6. If delivery is delayed from the initial scheduled delivery date, we will not lend a substitute product.

Article 6: Product sales price

1. In principle, we strive to display the sales price of the product posted on JPeHUB accurately. In the unlikely event that the sales price of the product is displayed incorrectly, we will follow the procedure below and will not sell the product at the incorrect displayed price, regardless of whether the sales contract has been concluded or not.

(1) If the sales price displayed on JPeHUB is higher than the fair price determined by our company, we will sell (charge) the product at the fair price determined by our company.

(2) If the sales price displayed on JPeHUB is lower than the fair price determined by our company, we will inform the member of the fair price and ask them to continue the order at the fair price or cancel the order.

2. The sales price of the product may change at any time due to various reasons such as the holding of various sales, sales status, and inventory status.

3. If the sales price of the product changes after the product is ordered, we will not adjust the price or guarantee the difference.

Article 7 Payment Method

1. The payment amount for the product is the total of the purchase price of the product including consumption tax and the related option fee, fees, etc.

2. Payment for products purchased through JPeHUB shall be limited to payment by credit card in the member's name or a payment method separately approved by our company.

3. If payment is made by credit card, the member shall comply with the terms of a separate contract between the member and the credit card company. In addition, if any dispute arises between the member and the credit card company in relation to the use of the credit card, the member and the credit card company shall be responsible for resolving it.

4. Depending on the payment method you choose, you may be charged a separate payment fee.

5. If the payment method is convenience store payment, etc., a copy of the payment at the convenience store will be the official receipt.

Article 8 Delivery

1. Shipping charges related to product delivery will be borne by our company, except for some areas specified by our company. Shipping charges for some areas will be displayed on the confirmation screen before ordering.

2. If you use the optional service of specifying the delivery date and time, the option price separately specified by our company will be required. However, depending on the availability of the product, you may be asked to change your desired date and time. If you change your desired date and time, the option price will not be refunded.

3. If you cancel your purchase after applying for the option service to specify a delivery date and time, we will handle the cancellation in accordance with the cancellation policy.

4. If you use the option service to specify a delivery date and time, you cannot select the convenience store prepayment payment method.

5. Delivery may be delayed due to natural disasters, system problems, or other unforeseen circumstances. We are not responsible for any damages incurred by members or third parties due to the above.

6. Products will be delivered through a shipping company designated by our company.

7. Delivery addresses are limited to addresses within Japan.

8. We will ship all ordered products together as soon as they are available. However, if it becomes clear that there is a significant delay in the arrival of some products, we may ship products that are in stock first.

9. Members may change the delivery address of the products specified at the time of ordering by contacting us to that effect, as long as it is before we begin arranging for the product to be shipped.

10. When a member has multiple delivery destinations, the member must place one order for each delivery destination.

11. A member may specify that the product be delivered to a location other than the member's own residence. If the member does not receive the product in person, the member must notify the delivery destination or recipient in advance that the product will be delivered by our company, and must ensure that the product is not returned to our company due to reasons such as refusal to receive it. In the unlikely event that the product is returned to our company due to the user's negligence, such as refusal to receive it or long-term absence, our company will charge the member the actual cost of return shipping and redelivery shipping.

12. The period until the product is delivered may be extended beyond the scheduled period due to the following reasons.

(1) If the product cannot be shipped due to public holidays or holidays of our company and the carrier.

(2) If the product cannot be shipped as scheduled due to a large amount of shipments or other work from our company.

(3) If delivery is delayed due to circumstances on the part of the carrier after the product has been shipped.
(4) When logistics are halted due to traffic or weather conditions, etc.

13. If the member is not present on the delivery date and the shipping company takes the product back without delivering it and leaves a "notice of absence," the member must contact the shipping company themselves and make arrangements for redelivery.

14. The Company shall not be liable for any direct or indirect damages suffered by the member as a result of delays in delivery of the product to the member.

Article 9 Returns, Exchanges, and Defective Products

1. In principle, we cannot accept returns or size exchanges for products due to the member's convenience. For details, please refer to the "FAQ/Contact Us" page on JPeHUB, "About Orders and Cancellations." In addition, we cannot accept returns for products damaged due to reasons attributable to the member.

2. Returns due to the member's convenience will only be accepted if the order is for clothing (helmets, jerseys, gloves, shoes, etc.) and the return request is made to us within 8 days from the date the delivery company completes the delivery. However, we will not accept returns even for clothing in the following cases.

(a) If the product is worn directly on the skin when trying it on.

(b) If the package or product tag is damaged or missing.

3. If the delivered product is damaged, defective, or delivered incorrectly from the order, the member must apply for a return to us within 2 weeks from the date the delivery company completes the delivery.

4. If the member applies as described above and the Company determines that the product needs to be re-evaluated and inspected, the member must promptly return the product, postage prepaid, by the method specified by the Company.

5. After the product arrives at the Company, the presence or absence of defects and the extent of the defects will be confirmed with the Company and the manufacturer/supplier of the product in question.

6. If the Company/manufacturer/supplier determines that an exchange is necessary, the product will be exchanged for an equivalent product. If an equivalent product is not in stock, the purchase price will be refunded.

7. In the event of an incorrect delivery of the product, the product will be exchanged for the product originally ordered. However, if an exchange cannot be arranged due to the product being sold out, incorrect product information, or changes in specifications, the product price will be refunded.

8. Due to our procedures, it will take a certain amount of time until the refund is made.

9. If the member purchases a substitute product from another company instead of from the Company due to a defective product or incorrect delivery, the Company will not compensate for any expenses, mental or time costs, or any other expenses incurred.

Article 10 Warranty
1. The scope of the warranty is subject to the contents of the manufacturer's warranty card attached to the product. However, some products may not have a warranty.
2. Due to product management reasons, we omit the date of purchase and the stamp of the store on the manufacturer's warranty card attached to the product. The delivery details sent with the product will serve as proof of the store of purchase and will also serve as a store stamp.
3. Our company will not be involved in any troubles that arise when a purchased product is transferred to a third party.
Article 11 Handling of personal information
Our company will handle the personal information of members in accordance with the "Privacy Policy" and "Notice of Personal Information Handling" separately stipulated.
Article 12 Changes and Suspension of Service
Our company may change, add, or, in unavoidable circumstances, suspend or cancel all services related to JPeHUB without prior notice to the member or without the member's consent. Our company shall not be liable for any damages suffered by the member due to changes, additions, suspension, or cancellation, except for reasons attributable to our company.
Article 13 Intellectual Property Rights

1. The rights to the content (including but not limited to intellectual property rights) of images, text, designs, logos, videos, programs, ideas, information, etc. (hereinafter collectively referred to as "content") provided through JPeHUB shall belong to our company and our business partners.

2. All content other than content provided by our business partners shall belong exclusively to our company.

3. Members may not use or publish copyrighted works such as content provided through JPeHUB beyond the scope of personal use of the member as defined by the Copyright Act without the consent of the rights holder.

4. If a problem regarding intellectual property rights arises due to violation of the provisions of this article, the member shall resolve the problem at his/her own expense and responsibility and shall not cause any inconvenience or damage to our company.

Article 14 Review Function

1. When a member submits a review or survey (hereinafter referred to as "review") via JPeHUB or postcard, etc., the member agrees to the Company reprinting the content of the review submitted by the member, either by itself or to a third party, free of charge, and will not raise any objection.

2. The member guarantees that the submission made by the member does not infringe on the copyright or other intellectual property rights of a third party.

3. The member's review may be used by the Company or a third party who has received a sublicense from the Company. In such cases, the Company may make partial modifications, such as summarizing or extracting part of the review, changing the size of the submitted image, or cropping it.

4. The member shall leave the decision on whether to post the submitted review to the Company, and shall post the review on JPeHUB based on the Company's judgment. In addition, even after posting on JPeHUB, the review may be deleted at the Company's discretion.

5. Members understand that we have no responsibility or obligation to store reviews posted by members, and that members shall back up their own reviews as necessary. We shall not be liable for any damages incurred by members in connection with the deletion or loss of reviews.

6. Reviews will not be deleted unless we deem it necessary, even at the request of the member who posted them.

7. We make no guarantees regarding the completeness, accuracy, applicability, usefulness, safety, or availability of reviews posted, edited, or published on JPeHUB.

8. In the event of a dispute between a member and a third party, such as the infringement of a third party's rights due to a review posted by a member, the member shall resolve the dispute at his/her own responsibility and expense.

Article 15 Prohibited Items
Members shall not engage in the following acts when using JPeHUB. In addition, if we determine that a member's actions fall under the following acts, we may suspend the provision of this service, cancel transactions, or force the member to withdraw from the service without prior notice to the member.
(1) Any act that causes or may cause disadvantage or damage to other users, third parties other than other users, or our company.
(2) Any act that infringes or may cause the same to other users, third parties other than other users, or our company's copyright or other intellectual property rights, portrait rights, personality rights, privacy rights, publicity rights, or other rights.
(3) Any act that violates public order and morals or other laws and regulations or may cause the same to occur.
(4) Any act of registering false information.
(5) Any act of using content obtained through JPeHUB for purposes other than personal use.
(6) Any act of copying, selling, publishing, distributing, making public, or similar acts of content obtained through JPeHUB through other users or third parties other than other users.
(7) Any act of collecting, accumulating, or storing personal information of other users.
(8) Any act of uploading to this service or sending by email or other means computer viruses, computer codes, files, programs, or other content designed to disrupt, destroy, or limit the functions of computer software, hardware, or communication devices.
(9) Any act that violates or may violate these Terms of Use.
(10) Posting the following content in JPeHUB reviews

- Posts for commercial purposes or similar purposes

- Posts that can identify individuals

- Posts that are deemed to have low information value, such as "nothing in particular" or "aaaa"

- Posts that are deemed to be contrary to public order and morals

- Posts with content that the Company deems inappropriate

(11) Any other actions that the Company reasonably deems inappropriate, such as those that damage or destroy the Company's credibility

Article 16 Disclaimer

1. If the Company determines that it has a duty to notify the member, it will be deemed to have fulfilled its obligation by sending a notice to the address or email address registered in the member's information, and in the case of delivery of products, by shipping the products to the address instructed by the member when purchasing the product.

2. The Company may freely change, delete, or add to the configuration, content, and other aspects of JPeHUB, and is not obligated to return the content to the state before the change, deletion, or addition at the request of the member. The same applies to the EC system in general, such as programs and databases.

3. Members shall bear the costs of preparing and installing computer equipment and communication equipment necessary to use the Service, telephone and fax fees, Internet connection fees, line usage fees and other communication fees, labor costs, and all other expenses incurred in using the Service.

4. Except as otherwise provided in these Terms and Conditions and related terms, the Company shall not be liable for any damage suffered by a Member due to reasons not attributable to the Company. In addition, if damage suffered by a Member is due to reasons attributable to the Company, the amount of the Company's liability for compensation shall be limited to the purchase price of the relevant product or service (except in cases where the Company is guilty of intentional or gross negligence).

5. The Company shall not be liable for any damage, loss, disadvantage, etc. suffered directly or indirectly by a Member, even if the Service is temporarily suspended, discontinued, or changed in the following cases.
(1) In the event of a natural disaster such as fire, earthquake, flood, lightning, heavy snow, etc.

(2) In the event of social unrest such as war, civil war, terrorism, riots, riots, etc.

(3) In the event that appropriate service is not available from the telephone company, shipping company, or provider with which the Company has a contract

(4) In the event of a technically insurmountable event that the Company is unable to respond

6. Except in cases where the Company is at fault, the Company shall fulfill its obligations and be exempted from liability by processing business affairs in accordance with the member information.

7. In the event that a member causes any damage to other users or third parties by using JPeHUB, the member shall resolve the matter at his/her own responsibility and expense and shall not cause any damage, loss, disadvantage, etc. to the Company.

Article 17 Management of Information

1. The Company may, at its discretion, freely use all or part of the content posted by users in connection with JPeHUB. The Company shall not be required to make any payment to the poster when using the content.

2. We collect the following information about JPeHUB users' access history in order to investigate the access history and usage status of JPeHUB users, or to improve services for JPeHUB users. Cookies issued by our company are used for the purpose of effective advertisement delivery, etc., and are not used for collecting personal information or other purposes.
(1) Information about the IP address or mobile device identification number when JPeHUB users access the server of this service
(2) Access information of JPeHUB users obtained by our company through cookie technology (a technology that temporarily writes data to the user's computer through a web browser to record and save the date and time the user last visited the site, the number of visits to the site, etc.)

3. JPeHUB users agree in advance that if JPeHUB users set their web browsers to reject cookies, their use of this service may be restricted.

Article 18 Maintenance of Services
In order to keep all services related to JPeHUB in good working order, the Company may temporarily suspend or discontinue all or part of the provision of services without prior notice to members in any of the following cases:
(1) In the case of regular maintenance and emergency maintenance of the computer system (hereinafter referred to as the "System")
(2) When operation of the System becomes difficult due to natural disasters such as fire, earthquake, flood, lightning, heavy snow, etc.
(3) When operation of the System becomes difficult due to social unrest such as war, civil war, terrorism, riot, disturbance, etc.
(4) When operation of the System becomes difficult due to system malfunction, unauthorized access from a third party, infection by a computer virus, etc.
(5) When requested by an administrative or judicial agency based on reasonable grounds
(6) When the Company deems it necessary to suspend or discontinue the System for other reasons

Article 19 Others
1. The interpretation and application of these Terms shall be governed by Japanese law.

2. If any problem arises that cannot be resolved under these Terms and Conditions, the Member and the Company shall negotiate in good faith to resolve the problem.
